Senior Vice President – Capital Markets

Job Overview:

As a Senior Vice President – Capital Markets of Hilco Merchant Resources (HMR), you will be responsible for identifying, cultivating, structuring, and closing potential retail M&A, financing, and debt acquisition transactions, including (i) identifying and analyzing potential targets based on publicly available information and (ii) developing investment and operating models.



  • Research and gather information about potential opportunities based on capital structures, debt – short and long term, earnings, asset categories and estimated asset values, including, where appropriate, leveraging other Hilco business units’ asset value expertise and knowledge.
  • Develop financial investment and operating models, including performing inventory, sales, margin, and expense analysis and evaluating a target’s capital structure and asset values to identify the fulcrum debt/equity security and estimated recovery.
  • Identify, develop, and execute transaction and deal structures, including reviewing and commenting on transaction documents, working with the legal team to move the transaction to closing, and interfacing throughout the process with the various HMR departments, as necessary, to align the transaction documents with the investment and operating strategies.
  • Participate in model review and due diligence meetings.
  • Complete investment memorandum and, if requested, participate in investment committee meetings.
  • Remain involved with transactions to ensure execution of transactions and deals in tandem with the transaction documents and models.
  • Work with outside advisors, including financial advisory firms and legal counsel.

Business Development:

  • Maintain ongoing relationships with potential referral sources, investment bankers, and clients to develop future business opportunities.
  • Develop, maintain and expand relationships with investment bankers and other referral sources.
  • Where necessary or appropriate, partner with other HMR team members to structure and close transactions.
  • Prepare and complete presentations and pitch materials as necessary.
  • Lead client pitches and meetings and, where necessary or appropriate, partner with other HMR team members in connection with such pitches and meetings.
  • Regularly participate in weekly pipeline, bi-weekly business development meetings, and other internal transaction related meetings.
  • Attend conferences and events approved by HMR in advance.
  • Represent HMR with the highest integrity.


  • Focus on learning HMR’s various businesses by regularly participating in meetings, conferences, team workshops, conference calls, etc.
  • Perform other duties as outlined by the CEO and President.
  • Overnight travel required.
  • As necessary or appropriate based on growth and deal flow, build, recruit, train, and oversee a team focused on capital market related transactions.

Key Competencies:

  • Bachelor's Degree in Accounting, Finance, Economics, or Mathematics required. MBA a plus.
  • At least five years of experience with capital markets and/or investment banking.
  • Strong desire and willingness to learn and develop a deep understanding of all facets of HMR’s business

  • Advanced Excel skills required; familiarity with Access a plus
  • Familiarity with Capital IQ and Bloomberg a plus.

Keys to Success:

Learn the business by:

  • Participating in weekly deal team meetings/calls on Mondays to gain a better understanding of (i) how HMR operates transactions, (ii) issues that come up and proposed solutions, and (iii) key members of HMR’s operational and field teams.
  • Participating in due diligence meetings/calls to gain a better understanding of (i) how HMR’s team conducts due diligence, (ii) how HMR’s field diligence and analytics overlap, and (iii) how HMR values inventory and FFE.
  • Participating in model review meetings.
  • Periodically scheduling working time with each department to gain a better understanding of how the department (Capital Planning, Operations, Marketing and Advertising, Legal, etc.) functions in a liquidation, challenges they encounter, etc.

Reporting Relationship:

This position reports to the CEO.

Work Hours and Conditions:

In addition to a minimum of 40 hours per week, required domestic and international travel to perform duties.
